1. General Provisions
1.1. This Code governs the relationship between SMARTSUPPLY HUB LTD (hereinafter — the “Company”), providing services through the SERVX Service Club, and persons engaged to perform Clients’ Instructions (hereinafter — the “Supplier”). The Company welcomes specialists and suppliers to the Service Club, established for the continuous improvement of the quality of service provided to its clients.

1.3. The Company strives to provide service of the highest standard. This Code sets out uniform standards binding on all partners, contractors, and Suppliers, and also forms a network of vetted experts for the club’s members. By commencing cooperation with the Company and interaction with its clients or employees, the Supplier confirms its agreement to comply with this Code.
1.4. This Code forms part of the Company’s unified set of documents governing the operation of the Service Club, together with the Terms and Conditions of Membership and the Privacy Policy.
2. Compliance with Legislation
The Supplier shall strictly comply with the applicable laws and regulations of the jurisdictions in which it operates, including the law of England and Wales and legislation on the prevention of corruption, fraud, and money laundering.
3. Quality and Authenticity
All goods and services shall be provided professionally, in accordance with the highest premium standards and the terms agreed upon placement of the request. The Supplier guarantees 100% authenticity and lawful origin of the goods supplied, and the absence of defects. If a request cannot be fulfilled within the stated time or in the stated manner, the Supplier shall notify the Company no later than 6 hours from receipt thereof.
4. Booking Terms
Any terms of the Supplier (cancellation, refund, timing) must be communicated to the Company before provision of the service commences. Terms provided later shall have no effect.
5. Confidentiality and Data Protection
5.1. The Supplier shall maintain full confidentiality in respect of any data about the Company, its clients, and partners obtained in the course of cooperation, and shall use it solely for the performance of the request. It is prohibited to use the names, statuses, or details of clients’ orders for marketing, public, or personal purposes. When processing clients’ personal data (including passport details, delivery addresses), the Supplier shall comply with the UK GDPR and the Data Protection Act 2018, and shall not transfer, store, or use such data beyond what is necessary for the provision of the service.
5.2. The Supplier’s processing of the personal data of the Company’s clients, obtained in the course of cooperation, shall be carried out with due regard to the requirements of the Company’s Privacy Policy.
6. Prohibition of Direct Contact
The Supplier is strictly prohibited from directly or indirectly entering into independent commercial or financial relations with the Company’s clients bypassing the service — including engaging them in direct cooperation during or after the provision of services — without the Company’s prior written consent.
7. Ethics and Labour Conditions
The Supplier shall comply with ethical business standards, ensure fair labour conditions for its employees, and exclude any forms of discrimination or forced labour.
8. Liability and Indemnification
The Company shall not be liable for the quality, safety, or compliance of goods/services supplied by a third party. The Supplier shall indemnify the Company and its clients against any losses, claims, or demands arising in connection with the goods or services provided by it, including cases of negligence, infringement of intellectual property rights, or damage to property. Settlement of claims without the Company’s written consent is not permitted.
9. Commission
The Company may receive a commission fee from the Supplier for referring clients to it.
10. Monitoring and Termination of Cooperation
Breach of this Code may result in immediate termination of cooperation by the Company, including without payment of compensation.
11. Governing Law
This Code shall be governed by the law of England and Wales; disputes shall be subject to the jurisdiction of the courts of England and Wales.
12. Language Precedence
This document has been prepared in the English language. In the event of any discrepancy or inconsistency between language versions or translations, the English-language version shall prevail.
